Service Agreement In order to obtain CONFIDENTIAL information, the undersigned (hereinafter referred to as "Subscriber") requests Xukor Information Services, (hereinafter referred to as "Xukor") for the use of its services, under terms and conditions outlined below, and in consideration of the mutual benefits, Subscriber and Xukor enter into the following agreement. A. THE SUBSCRIBER AGREES: 1. To comply with all provisions of the Fair Credit Reporting Act (15 USC 1681 et seq.). 2. That the nature and type of its business is . 3. Subscriber may request Employment Reports pursuant to procedures prescribed by Xukor from time to time and certifies that any such requests shall be made only when it is considering the individual inquired upon for employment, promotion, reassignment or retention as an employee, and for no other purpose. Subscriber certifies that it will not request an Employment Report for employment purposes unless: A. A clear and conspicuous disclosure is first made in writing to the consumer before the report is obtained, in a document that consists solely of the disclosure, that a consumer report may be obtained for employment purposes. B. The consumer has authorized in writing the procurement of the report; and C. Information from the Employment Report will not be used in violation of any applicable federal or state equal employment opportunity law or regulation. In addition, prior to requesting an Investigative Consumer Report [as defined in 15 U.S.C. 1681a Section 603(e)] on any individual, in connection with each such request, Subscriber certifies it has made the disclosures required by 15 U.S.C. 1681d, Section 606 (a)(1) and it shall comply with the provisions of 15 U.S.C. 1681d Section 606 (b). 4. Subscriber further certifies that before taking adverse action in whole or in part based on the Employment Report, it will provide the consumer: A. A copy of the Employment Report; and B. A copy of the consumer’s rights, in the format approved by the FTC, which notice shall be supplied to Subscriber by Xukor. Reports on employees will be requested only by the Subscriber's designated representative. Employees will be forbidden to attempt to obtain reports on themselves, associates, or any other person except in the exercise of their official duties. (THE FAIR CREDIT REPORTING ACT PROVIDES THAT ANY PERSON WHO KNOWINGLY AND WILLFULLY OBTAINS INFORMATION ON A CONSUMER FROM A CONSUMER REPORTING AGENCY UNDER FALSE PRETENSE SHALL BE FINED UNDER TITLE 18, OR IMPRISONED NOT MORE THAN TWO YEARS, OR BOTH). 5. To use Employment Reports only for a one-time use, to hold all Employment Reports in strict confidence, and to not disclose any Employment Reports to any third party not involved in the current employment decision. 6. To pay Xukor upon receipt of the statement for the services rendered during the previous 30-day period according to the current rate schedules in effect. The initial services and rates are described in a schedule attached hereto. All payments shall be due fifteen days after receipt of the invoice. Past due amounts shall accrue interest at the rate of 1.5% per month. If collection efforts are required, Subscriber shall pay all costs of collection including attorney fees. 7. To pay Xukor each month a minimum of $20.00 billing or the actual amount of services rendered, whichever is greater. B. XUKOR AGREES: 1. To provide the Subscriber a reporting service on individuals. Xukor reserves the right to change the schedule of service and charges from time to time, but no change in such schedule shall become effective as to the Subscriber earlier than 30 days after written notice thereof shall have been given by Xukor to the Subscriber. C. IT IS MUTUALLY AGREED: 1. Xukor shall use good faith in attempting to obtain information from sources deemed reliable but does not guarantee the accuracy or completeness of the information provided, and in no event shall Xukor be held liable in any manner whatsoever for any loss or injury to Subscriber resulting from the obtaining or furnishing of such information, and further that Subscriber agrees to hold Xukor harmless and indemnify it from any and all claims, losses, and damages arising out of alleged liability or failure of the Subscriber to keep and perform any of its obligations described herein. Xukor shall have no obligation or duty hereunder to provide any information that is not verifiable. 2. This Agreement shall remain in force and effect for one year from the date hereof, and thereafter, from year to year, on the same basis as set forth herein except that either party may cancel this Agreement at anytime upon at least 30 days prior notice. 3. It is further agreed, however, that with just cause, such as delinquency or violation of the terms of the contract or a legal requirement, Xukor may, upon its election, discontinue serving the Subscriber and cancel this Agreement immediately. 4. The parties hereto agree that this instrument is the full and complete Agreement between them regarding the furnishing of credit information, and is not to be altered, varied, or enlarged upon by any verbal promises, statements or representations not expressed herein. This agreement shall not be binding on either party until accepted by Xukor. D. TRACE and ReTRACE 1. Subscriber may obtain from Xukor any or all of the following: a. Name and address information upon entering a social security number into the Xukor system (herein called TRACE); b. Social Security information upon entering a name and address (herein called ReTRACE); and c. Name, address and social security number upon entering name, address and social security number or name and social security number (IDSearch). 2. Subscriber intends to use one or more of Trace and/or ReTrace for the appropriate purpose(s) checked below, and for no other purpose: _____ Address verification for criminal history checks _____ Verification of customer identification _____ Locating customers/debtors/beneficiaries/policy holders/association members _____ Investigating or preventing actual or potential fraud, fraudulent applications, or fraudulent claims _____ Locating witnesses/suspects/missing persons E. MOTOR VEHICLE REPORTS 1. Customer agrees not to send Motor Vehicle Reports via the Internet or e-mail. 2. Information supplied by any state shall not be used to create or update a file to the end that the customer develops its own source of driving history information.
